Winery Terms of Service

1. Acceptance & who may agree

By claiming a winery, submitting winery information, or subscribing to a paid tier on Spill, you agree to these Winery Terms. You represent that you are authorized by the winery to act on its behalf and to bind it to these terms. Your Winery Admin access uses the same login as your Spill consumer account; you are responsible for activity under it.

2. Confirming your role

Spill manually reviews and confirms every claimbefore granting Winery Admin access. We may request information to verify your role and the winery’s identity, and we may approve, reject, reverse, or transfer a claim at our discretion (for example, in an ownership dispute or if we cannot verify your authority). Submitting a payment does not by itself grant access or the Verified status; identity confirmation by Spill is required.

3. The service and tiers

• Confirmed / Limited tier (free): once confirmed, you may create and edit a defined set of basic winery details (name, contact, hours, reservations, tasting fee, a short description, winemaker, varietals, notable wines, tags, and a primary photo).
• Verified tier ($50/month): everything in Limited, plus additional profile features (the Verified badge, a longer description, experience blurb, media gallery, wine club and shop links, priority placement in Spill trip itineraries, events, and up to 10 additional team members). The specific feature set may change over time.

4. Subscription, billing & refunds

• Price: $50.00 USD per month per winery, charged via our payment processor (Stripe). United States only at launch.
• Auto-renewal: the subscription renews automatically each monthly cycle until cancelled.
• Cancellation: you may cancel anytime. On cancellation you keep the Verified tier through the end of the current paid cycle, then revert to the free Limited tier. Only the winery owner role may downgrade.
• No prorated refunds for partial months, except: (a) auto-cancellation + full refund if Spill rejects or reverses your identity claim after you have paid; and (b) as required by law.
• Failed payments: if a renewal payment fails, we retry for approximately 14 days during which the Verified tier is maintained; if payment is not completed, the winery reverts to Limited.
• Taxes: you are responsible for any applicable taxes.

5. Your content & conduct

You are solely responsible for the information, text, images, video, and links you provide (“Winery Content”). You represent and warrant that:

• you have all rights necessary to provide it and to grant the license in Section 7;
• it is accurate and not misleading, and does not misrepresent your winery, its offerings, awards, or practices;
• it does not infringe others’ rights, violate any law, or contain illegal, harmful, deceptive, defamatory, or abusive material.

Because certain fields are self-reported, Spill may present Winery Content with a “from the winery”attribution to distinguish it from Spill’s own data. Spill does not verify the accuracy of Winery Content and is not responsible for it.

6. Spill’s rights over content and access

• Spill maintains its own winery data (including data from its enrichment and research pipelines). Spill’s data is not Winery Content and is not affected by your tier or subscription.
• Spill may recommend corrections to your winery’s data; you decide whether to accept them.
• Spill may remove, hide, or override Winery Content, and may suspend or revoke Winery Admin access or Verified status, only for violations of these terms (including illegal content, false information affecting consumer safety, or abuse), and will log such actions and notify you. Spill will not override your content over matters of taste or marketing preference.
• On downgrade or cancellation, Spill retains your content but stops displaying Verified-only content; it is restored if you re-subscribe.

7. License to Spill

You grant Spill a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute Winery Content, for as long as you maintain a presence on Spill, in the following places:

• on Spill’s own surfaces: the Spill website, mobile apps, and other consumer products;
• through Spill’s public API and MCP server: the programmatic interfaces through which developers and AI tools can look up winery listings on Spill;
• through AI-assistant integrations: AI assistants and similar services (for example, Claude or ChatGPT) that retrieve winery listings from Spill and show them to their users in answers and recommendations;
• in Spill’s marketingof the winery’s presence on Spill.

When your Winery Content is distributed through the API, MCP server, or AI-assistant channels, Spill includes attribution to your winery with the data, and requires those channels to keep it. You retain ownership of your Winery Content.

8. The Verified badge

The Verified badge indicates that Spill has confirmed the winery’s identity and the winery maintains an active paid subscription. It is not an endorsement or a guarantee of the accuracy of any Winery Content. Spill may remove the badge if the subscription lapses or these terms are violated.

9. Privacy & data

Spill collects and uses account, contact, phone, and business information as described in the Spill Privacy Policy. You consent to Spill contacting you (e.g., claim confirmation, billing, service notices) at the contact details you provide.

10. Disclaimers & limitation of liability

The service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, Spill is not liablefor indirect, incidental, or consequential damages, or for losses arising from Winery Content or from reliance on information displayed. Spill’s total liability is limited to the amounts you paid to Spill in the 3 months preceding the claim. You will indemnify Spill against claims arising from your Winery Content or your breach of these terms.

11. Term & termination

Either party may terminate at any time. On termination, Verified features and the badge turn off; your basic listing and retained content remain per Section 6. Sections that by their nature survive (content license limits, disclaimers, liability, indemnity) survive termination.

12. Changes, governing law, contact

We may update these terms; material changes will be communicated and continued use constitutes acceptance. These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Questions: admin@getspill.app.
